Terms of Service
These Terms of Service ("Terms") are a legal agreement between you and Golden Nova Agency LLC ("Golden Nova," "we," "us," or "our") governing your access to and use of Nova OS and our related websites and services at usenovaos.com and gna-marketing.com (the "Services"). By using the Services, you agree to these Terms. If you do not agree, do not use the Services.
1. The Services
Nova OS is a business operating system that includes CRM, scheduling and booking, outreach, content tools, agreements, and reporting. We may add, change, or remove features over time to improve the Services.
2. Your account
You must provide accurate information and keep your login credentials secure. You are responsible for all activity under your account. You must be at least 18 years old and able to form a binding contract to use the Services.
3. Acceptable use
You agree not to:
- use the Services for any unlawful, deceptive, or abusive purpose;
- send spam or messages that violate anti-spam laws (such as CAN-SPAM), or contact people without a lawful basis;
- infringe anyone's intellectual property or privacy rights;
- interfere with, disrupt, reverse-engineer, or attempt to gain unauthorized access to the Services or their infrastructure.
You are responsible for the content and contacts you upload and for complying with all laws that apply to your business.
4. Third-party services
The Services integrate with third-party providers you choose to connect, such as Google Calendar. Your use of those providers is subject to their own terms and privacy policies. When you connect Google, you authorize us to create and manage calendar events on your behalf as described in our Privacy Policy. We are not responsible for third-party services.
5. Fees & billing
Paid plans are billed in advance on a recurring basis at the price shown when you subscribe. Unless stated otherwise, fees are non-refundable except where required by law. We may change pricing with reasonable notice; changes apply to the next billing cycle. You can cancel at any time, effective at the end of your current billing period.
6. Intellectual property
The Services, including our software, design, and brand, are owned by Golden Nova and protected by law. We grant you a limited, non-exclusive, non-transferable right to use the Services while your account is active. You retain ownership of the content and data you provide; you grant us the rights needed to host and operate the Services for you.
7. Disclaimers
The Services are provided "as is" and "as available," without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Services will be uninterrupted, error-free, or secure, or that they will produce any particular business result.
8. Limitation of liability
To the fullest extent permitted by law, Golden Nova will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, data, or goodwill. Our total liability for any claim relating to the Services will not exceed the amount you paid us in the twelve (12) months before the claim.
9. Indemnification
You agree to indemnify and hold Golden Nova harmless from any claims, damages, and expenses arising out of your use of the Services, your content, or your violation of these Terms or applicable law.
10. Termination
You may stop using the Services at any time. We may suspend or terminate your access if you violate these Terms or if necessary to protect the Services or other users. Upon termination, your right to use the Services ends; sections that by their nature should survive (such as fees owed, disclaimers, and limitation of liability) will survive.
11. Governing law
These Terms are governed by the laws of the State of Washington, USA, without regard to its conflict-of-laws rules. Any dispute will be resolved in the state or federal courts located in Washington, and you consent to their jurisdiction.
12. Changes to these Terms
We may update these Terms from time to time. We will post the updated version here and revise the "Last updated" date. Your continued use of the Services after changes take effect means you accept the revised Terms.
